Terms of Service

These Terms of Service (the “Terms”) govern your use of PolicyClear (the “Service”), operated by edi.chat LLC (“edi.chat,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Service description
PolicyClear provides automated, AI-generated analysis of commercial cyber insurance policies. You upload a policy PDF; we extract the text, run an automated analysis, and deliver a structured report summarizing coverage, flagging exclusions and potential gaps, and suggesting questions to discuss with your licensed insurance broker.
The Service currently supports commercial cyber insurance policies only. Other lines of commercial insurance are not supported. Reports are provided for educational and informational purposes only and do not constitute professional advice. See Sections 4 and 5.
2. Eligibility
To use the Service, you must:
- be at least 18 years old;
- have authority to upload the insurance policy on behalf of the policyholder business (the named insured), or be the policyholder yourself; and
- use the Service only for lawful purposes and in accordance with these Terms.
By uploading a policy, you represent and warrant that you have the necessary rights and authority to do so.
3. License and intellectual property
Our rights. edi.chat LLC retains all right, title, and interest in and to the Service, including without limitation the platform, software, user interface, analysis methodology, system prompts, models, templates, and any improvements thereto. No rights are granted to you in our intellectual property except the limited right to use the Service in accordance with these Terms.
Your rights. You retain all ownership of (a) the insurance policy you upload, and (b) the report delivered to you. By uploading a policy, you grant edi.chat LLC a limited, non-exclusive, royalty-free license to process the policy solely for the purpose of generating your report and operating the Service. This license terminates when we delete the underlying data per our retention rules (see Privacy Policy).
4. Not professional advice
The Service does not provide professional advice. Reports generated by the Service are for educational and informational purposes only. They are not:
- legal advice;
- insurance brokerage advice;
- underwriting, claims, or coverage opinions;
- financial, tax, or accounting advice; or
- a substitute for review by a licensed professional.
Use of the Service does not create an attorney-client, broker-client, agent-client, fiduciary, or any other professional relationship between you and edi.chat LLC.
You must consult a licensed insurance broker, attorney, or other qualified professional before making any coverage decision, binding or modifying a policy, accepting or declining policy terms, filing or defending a claim, or taking any other action based on a report.
5. Accuracy disclaimer
The analysis is automated and may contain errors, omissions, misinterpretations, or outdated regulatory or industry references. The report reflects an automated reading of the policy text submitted; we do not verify the accuracy or completeness of that text, and we cannot guarantee that the report identifies every gap, exclusion, or relevant consideration.
The Service is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
You are solely responsible for verifying any finding, recommendation, or question contained in the report with a licensed insurance broker or other qualified professional before acting on it.
6. Refunds
Refunds are issued at our discretion when PolicyClear fails to deliver a report due to a technical or service failure (including but not limited to: PDF extraction errors, analysis failures, or non-delivery of the report email). Refund requests for technical failure must be made within 30 days of purchase by emailing support@policyclear.io.
We do not offer refunds based on dissatisfaction with the content, accuracy, or recommendations of a successfully delivered report — the report reflects an automated analysis based on industry standards and the policy text submitted, and is provided for educational purposes only.
7. Acceptable use
You agree that you will not:
- upload any policy or document you do not have authority to upload;
- upload material that infringes the rights of any third party, violates any law, or contains malicious code;
- use any automated means (bots, scrapers, headless browsers, or similar) to access or use the Service without our express written permission;
- attempt to reverse engineer, decompile, or extract the underlying models, prompts, or methodology of the Service;
- use the Service or any output to develop, train, benchmark, or improve a competing product or service;
- use the Service to circumvent, replace, or interfere with an existing broker-client or professional relationship; or
- use the Service in violation of any applicable law.
We may suspend or terminate access for any violation. See Section 10.
8. Limitation of liability
To the maximum extent permitted by applicable law, edi.chat LLC’s total liability to you arising out of or relating to the Service or these Terms is capped at the amount you paid for the report giving rise to the claim (currently $149).
In no event will edi.chat LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation: lost profits, lost business opportunity, loss of data, loss of goodwill, business interruption, costs of substitute services, or any damages arising from:
- coverage decisions you make or fail to make in reliance on a report;
- claim outcomes, declinations, or insurance disputes related to a policy analyzed by the Service;
- business losses, breach incidents, or third-party claims that are or are not covered by your policy;
- actions or omissions of your insurance broker, carrier, or any third party; or
- inaccuracies, omissions, or interpretations contained in any report.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless edi.chat LLC and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) your upload of any policy or document you did not have authority to upload; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party right.
10. Service changes and termination
We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. We may terminate or suspend your access to the Service immediately if you breach these Terms or use the Service in a manner that, in our reasonable judgment, exposes us or other users to harm or legal risk.
Sections 3 (License and intellectual property), 4 (Not professional advice), 5 (Accuracy disclaimer), 8 (Limitation of liability), 9 (Indemnification), 11 (Governing law), 12 (Dispute resolution), and 14 (Contact) survive termination.
11. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. [TODO — counsel to confirm specific jurisdictional language.]
12. Dispute resolution

13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be communicated by email to active customers. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
